Rules and Regulations

Eligible nominees are:

  • Women ages 21 and up
  • Legal US residents
  • Physically reside in one of the 50 United States
  • Not an employee of GODIVA



Eligibility: The Lady Godiva Contest ("Contest") is open to legal residents of the (50) United States and the District of Columbia who are females aged twenty-one (21) years or older as of the date of entry and active members in their community through service and/or charity work (each, a "Nominee"). Nominations will be accepted from individuals, age 13 or older, who are legal residents of, and physically resides in, the fifty (50) United States or the District of Columbia ("Nominator").

Employees, officers & directors of Godiva Chocolatier, Inc. ("Sponsor") & its parent, subsidiaries, affiliates, agents, representatives, retailers, distributors, contractors, advertising & promotion agencies & teamDigital Promotions, Inc. ("Administrator") (hereafter, collectively, the "Released Parties") & their immediate families (parents, spouses, children or siblings & their respective spouses, regardless of where they reside) & household members, whether or not related, are not eligible to be nominated or win a prize. Void where prohibited. This Contest is subject to all applicable federal, state and local laws.

To Enter: Visit between 12:00:01 PM Eastern Time ("ET") on 3/25/16 and 11:59:59 AM. ET on 4/18/16 ("Promotion Period") and follow the instructions provided to fully complete and submit the Entry Form, including the following:

1) Selection of an applicable category ("Category") in which their submission is most relevant: a) Health, Wellness & Hunger, (b) Children, Families & Poverty, or (c) Environment.

2) Completion of an essay consisting of 2,500 characters or less ("Essay"), in English, addressing the following topics: How their nominee embodies the spirit of Lady Godiva through selflessness, generosity and leadership and how they make a difference in their community.

3) Upload one (1) optional photograph of the Nominee ("Photo"). Photo must be submitted as a JPEG or PNG, cannot be professionally produced, cannot exceed 1 MB, and must have a minimum photo dimension of 200 X 200 pixels.

Both the Essay and Photo (if any) will be collectively referred to herein as the "Entry" and the Nominee will be referred to as the "Entrant". All Entries must: 1) Be the original creation of the Nominator; 2) Not have won any type of previous recognition awards (regardless of compensation); 3) Not have been previously published or produced in any fashion (regardless of compensation); 4) Not infringe on any third-party rights; 5) Be suitable for publication as determined at the sole and absolute discretion of the Sponsor; 6) Not include, obscenity, profanity, racist themes or material that is sexually oriented or comments regarding sexual orientation, explicit, suggestive or exploits people in a sexual or violent manner; and 7) Not contain other brands' name, labels or logos. Any Entry deemed inappropriate, pornographic, lewd, offensive or inappropriate for any reason, as determined at the sole and absolute discretion of the Sponsor, will not be considered. Modification of an existing work does not qualify as original. In order to be entered into the Contest, Nominee and Nominator must both comply with the Entry instructions and each Entry submitted must meet the eligibility criteria outlined above. Once submitted, an Entry cannot be deleted, canceled, or modified.

Nominees may be nominated more than once, and a Nominator may nominate herself if she wishes to do so. All Entries become the property of the Sponsor and will not be returned. Enter as often as you wish, but each Entry must be distinctly different and unique. The name of the "authorized account holder" associated with any given email address will be deemed to be the submitter of any Entry and must comply with these Official Rules. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Proof (to Released Parties satisfaction) of being the authorized account holder may be required by Released Parties. Released Parties are not responsible for lost, incomplete, late, damaged, garbled, undelivered, inaccurate or misdirected entries; failures or malfunctions of phones, phone lines or telephone systems or other communications malfunctions; interrupted or unavailable network, Internet Service Provider (ISP), cable, satellite, server or other connections including those through; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to Entrant's, Nominator's, or any other person's computer related to or resulting from participation in this Contest; printing, typographical or other errors appearing within these Official Rules or in any Promotion-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic or otherwise, including, without limitation, errors that may occur in connection with the administration of this Contest, the processing or judging of Entries, the announcement of the prize, or in any other Contest-related materials. The use of automated entry or similar devices as specifically set forth above, is prohibited and Entries through such prohibited devices are void. By entering this Contest, Nominators give their express permission to be contacted by Sponsor by telephone, email and/or postal mail for the purpose of this Contest only, and to assist in contacting their Nominees. By entering, each person submitting an Entry warrants and represents that his/her Entry does not defame or otherwise violate the rights of any third party and does not violate any federal, state or local laws or ordinances. Such persons further warrant and represent that: (1) Sponsor shall own the Entry (and all material embodied therein); (2) that by entering, the entrant person submitting the Entry irrevocably assigns to Sponsor and its designees any and all rights, title and interest in the Entry including but not limited to all intellectual property rights; (3) that Sponsor and its designees shall have, without limitation, the perpetual, right, but not the obligation, worldwide to edit, adapt, modify, publish, exploit and use the Entry in any way and in any media for trade, advertising, promotional and/or other purposes as Sponsor and/or its designees may determine without further consideration, notification or permission of Entrants, the winner or any third parties or, at its discretion, remove any Entries; and 4) they have secured the requisite consent from any third party referenced or featured in their Entry and, if their Entry is a winner, agrees to provide legal releases for the use of such reference or image in a form satisfactory to Sponsor.

Finalist Judging: Based on the criteria outlined below, three (3) Entries per Category (for a total of nine (9) Entries) will be determined on or about 4/18/16 from among all eligible Entries received during the Promotion Period. Administrator, whose decisions will be final and binding in all matters relating to this Contest, will judge each Entry based on the following criteria: 1) Originality of story (0-25 points); 2) Content and inspirational quality (0-25 points); 3) How Nominee is a positive influence for community and charity (0-25 points); and 4) Suitability for advertising and publicity (0-25 points). In the event of a tie for any given Category, such tied Entries will be re-judged based on the following criteria: How Nominee is a positive influence for community and charity: 0-100 points. The Entrants who submitted the nine (9) scoring Entries, as determined by Sponsor in its sole discretion, will be deemed potential Finalists (subject to verification of eligibility and compliance with the terms of these rules) and will be contacted by email and/or telephone and will be required to execute and return an Affidavit of Eligibility and a Release of Liability and (where legal) a Publicity Release within 2 days of date of issuance of notification. Noncompliance with the foregoing, with these Official Rules or any notification being returned as non-deliverable, may result in disqualification and, at Sponsor's discretion, a runner-up being notified. Sponsor reserves the right to select fewer than three (3) Finalists per Category if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries in the applicable Category.

Honoree Peer Voting : Beginning on 4/27/16, the nine (9) Finalist Entries (three (3) per Category) will be posted online for peer voting. For peers to vote for the woman they find most inspirational, visit between 12:01:00PM ET on 4/27/16 and 11:59:59AM ET on 5/16/16 ("Voting Period") and follow the instructions provided to submit a vote. Limit one (1) vote per person and per valid email address every 24 hours for the duration of the Voting Period. Additional votes received beyond the specified limit or generated by script, macro or other automated means or with the intent to affect the integrity of the voting process will be void. Entrants are prohibited from obtaining votes by fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as defined by Sponsor in its sole discretion. Voters who do not comply with the voting instructions will not have their votes cast or counted. The Finalist Entry in each Category that receives the most votes will be deemed an Honoree Prize Entry and the Entrant identified with such Entry will be deemed a potential Honoree Prize winner (subject to verification of eligibility and compliance with the terms of these rules). In the event of a tie within any given Category, such tied Entries will be judged by a "tie-breaking" judge based on the following criteria: How Nominee is a positive influence for community and charity: 0-100 points. Honoree Prize winners will be notified by email and/or telephone on or about May 2016 and prizes will be awarded in March 2017.


Prizes: Three (3) Honoree Prizes (one per Category): Each Honoree Prize winner will receive a check in the amount of $10,000 which may be used toward her charity and/or community work or any other purpose. Nine (9) Finalist Prizes (three (3) per category): Each Finalist Prize winner will receive 6-months of Godiva awarded as one (1) Godiva product per month for a total of six (6) months. Approximate Retail Value ("ARV"): $200 each. Total ARV of all prizes to be awarded: $31,800.

Miscellaneous : All federal, state & local taxes & any other costs & expenses associated with prize acceptance & use not specified herein as being awarded are the sole responsibility of the prize winner. No transfer, assignment, cash redemption or substitution of prize is permitted, except by Sponsor, which reserves the right to substitute a prize with one of comparable or greater value, as determined by Sponsor. Noncompliance with the foregoing or with these Official Rules, or any notification that is unsuccessful or returned as non-deliverable, may result in disqualification of the potential winner and, at Sponsor's discretion, the next runner-up being notified. By participating, you agree to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding and agree that: 1.) Released Parties and their designees may use (unless prohibited by law) their name, voice, city/state of residence, photograph and/or likeness for advertising and/or trade and/or for any other purpose in any media (social or otherwise) or format now or hereafter devised (including on the Internet), worldwide in perpetuity, without further compensation, permission or notification, and 2.) Released Parties and their designees and assigns shall have no liability and will be held harmless for any liability, loss, injury or damage, including, without limitation, personal injury, death or damage to personal or real property, to entrant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize or participation in this Contest. Sponsor reserves the right, in its sole discretion, to modify, suspend or terminate this Contest (or any portion thereof) should virus, bugs, non-authorized human intervention or other causes, including but not limited to war or armed conflict (whether or not officially declared), labor controversy or threat thereof, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of this Contest and, in the event of termination, at its discretion, select winners from among all eligible, non-suspect Entries received as of the date of the event requiring such termination. CAUTION: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, ADMINISTRATOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor reserves the right to conduct a background check of any and all records of any winner, including without limitation, civil and criminal court records and police reports. To the extent necessary under law, winners shall authorize this background check. Sponsor may also take all steps necessary to corroborate any information provided to Sponsor by winner(s) in their Entries or in any followup communications. In that regard, winners will be obligated to provide necessary contacts and information so that Sponsor may conduct such investigation. Sponsor reserves the right (at its sole discretion) to disqualify any winner from any prize element, based on the background check.

Arbitration: Except where prohibited by law, as a condition of participating in this Sweepstakes, entrant agrees that (1) any and all disputes and causes of action arising out of or connected with this Sweepstakes, or prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the entrant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-of-pocket expenses (i.e., costs associated with participating in this Sweepstakes), and entrant further waives all rights to have damages multiplied or increased.

Choice of Law: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.

Privacy: Personally identifiable information that is submitted as part of this Contest will be used to administer the Contest, select the winners and fulfill the prize, and will be treated in accordance with Sponsor's privacy policy accessible on its website at,default,pg.html.
