LADY GODIVA CONTEST
NO PURCHASE NECESSARY TO ENTER.
DO NOT ENTER THIS CONTEST IF YOU DO NOT PHYSICALLY RESIDE WITHIN THE 50 UNITED STATES OR THE DISTRICT OF COLUMBIA. ENTRY INTO THIS CONTEST CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES. CONTEST IS VOID IN PUERTO RICO, THE U.S. VIRGIN ISLANDS, U.S. TERRITORIES, POSSESSIONS, MILITARY BASES LOCATED IN FOREIGN COUNTRIES AND WHERE PROHIBITED BY LAW. CONTEST IS GOVERNED BY U.S. LAW AND IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE, AND LOCAL LAWS AND REGULATIONS.

CONTEST ADMINISTRATOR: Ventura Associates International LLC, 1040 Avenue of the Americas, New York, NY 10018 (“Contest Administrator”).
ELIGIBILITY: The Lady Godiva Contest (“Contest”) is open only to any female age 21 or older at time of entry and who is a legal resident of, and physically resides in, the fifty (50) United States or the District of Columbia, who is active in her community through service and/or charity work (each, a “Nominee). Nominations will be accepted from individuals, age 13 or older, who are legal residents of, and physically resides in, the fifty (50) United States or the District of Columbia (“Nominator”). Employees of Sponsor, its parent company, subsidiaries, affiliates, vendors, advertising and promotion agencies, or any other individual or company involved in the development or execution of the Contest (collectively, the “Promotion Parties”), and members of their immediate families (parent, child, sibling and their respective spouses, regardless of where they reside) and same households, whether or not related, are not eligible to submit an Entry (as defined below), be nominated or win.
CONTEST ENTRY DATES: The Contest begins at 9 A.M. Eastern Time (“ET”) on 4/10/12 and ends at 11:59 P.M. ET on 12/20/12 (“Contest Period”). Contest Period consists of three (3) Entry Periods. The Entry Periods are as follows: Entry Period #1: 12:01 AM ET on 4/10/12 through 11:59 PM ET on 5/22/12. Entry Period #2: 12:01 AM ET on 5/23/12 through 11:59 PM ET on 8/15/12. Entry Period #3: 12:01 AM ET on 8/16/12 through 11:59 PM ET on 11/2/12.
CONTEST OBJECTIVE: Nominate someone or yourself who is making change by being active in her local community through charity and/or service work.
NOMINEE PERMISSION: A Nominator should obtain permission from the Nominee prior to submitting the Entry to submit an Entry on behalf of Nominee and to grant the rights set forth herein. Nominator must be willing, upon request of the Sponsor, to confirm such permission in writing in a form acceptable to Sponsor. Nominator agrees to indemnify and hold Releasees (as defined below) harmless for any claims, damages, losses and expenses, including, without limitation, reasonable attorney fees’ and court costs, it may sustain from Nominator’s failure to obtain such written permission prior to submitting the Entry.
ENTRY REGIONS: All eligible Entries received will be divided into the following regions and judged against other Entries received for that region. The three (3) geographic regions (each, a “Region”) are defined as follows: Northeast (includes the states of: CT, DE, MA, ME, MI, NH, NJ, NY, OH, PA, RI, and VT); Central Southeast (includes the states of: AL, DC, GA, FL, ID, KY, LA, MD, MS, MT, NC, ND, SC, SD, TN,TX, VA, WV, and WY) and West/Midwest (includes the states of: AK, AR, AZ, CA, CO, HI, IA, IL, IN, KS, MN, MO, OK, OR, NE, NM, NV, UT, WA, and WI).
HOW TO ENTER: Visit www.LadyGodivaProgram.com (“Website”) and follow all onscreen instructions to complete and submit the Entry Form, including composing an essay consisting of 150 words or less (“Essay”), in English, addressing the following: 1) Why are others inspired by Nominee; 2) how is Nominee a passionate leader for her cause and to her community; 3) how does Nominee give back to her community/cause and what has she accomplished; and 4) how long has Nominee been working with her cause? Also, upload one (1) color or black & white photograph of the Nominee (“Photo”). Photos taken by a professional photographer should not be submitted. Both the Essay and Photo will be collectively referred to herein as “Entry.” Photo must be submitted as a JPEG or PNG, cannot exceed 1 MB and must have a minimum photo dimension of 200 X 200 pixels. To qualify for judging, the Entry must be received by 11:59 PM ET on the last day of the applicable Entry Period. All Entries submitted become property of the Sponsor and will not be returned or acknowledged.
There is no limit on the number of Entries someone can submit or receive; however, a Nominee is only allowed to advance beyond Round 1 once. In the event more than one Entry for any Nominee is deemed in the top three (as described more fully in the Judging section below), only the Entry with the highest score will advance to Round 2.
Entries from a given Entry Period will not carry forward into subsequent Entry Periods; however a Nominee can be re-nominated the next Entry Period (if applicable). Incomplete Entries are not eligible and will not be judged.
For purposes of these Official Rules, "receipt" of an Entry occurs when server records the Entry information resulting from clicking the Website’s "Submit" button. Any automated computer receipt (such as an electronic notice confirming the Entry) does not constitute proof of actual receipt by Sponsor for purposes of these Official Rules.
For purposes of these Official Rules, going forward, the Nominator and the Nominee may collectively and individually be referred herein as “Contestant.”
ENTRY SUBMISISON GUIDELINES: Essays (i) must be original work and solely written by Nominator and Nominator must have an unrestricted right to submit the Essay, (ii) must not have been previously published or have won any other awards, and (iii) must not defame or violate the right of any third party, living or deceased, or entity, including without limitation publicity or any privacy rights.
Any Nominator whose work includes elements not owned by Nominator, including without limitation, quotes and copyrighted and trademarked materials, is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any Nominator at any time. Failure to provide such proof may, if requested, render Entry null and void.
Entries may not include profanity, sexually explicit or suggestive content, or content that (i) is violent or derogatory of any ethnic, racial, gender, religious, professional, or age group, or otherwise inappropriate content, as determined by the judges and/or Sponsor in their sole discretion, (ii) defames, misrepresents or contains disparaging remarks about Sponsor, its products or services, or other people or companies; (iii) contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission, to the extent permission is necessary; (iv) contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission, to the extent permission is necessary; (v) contains materials embodying the names, likenesses, voices, or other indicia identifying any person, as well as addresses, email addresses and licenses plates, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission; (vi) contains look-alikes of celebrities or other public or private figures, living or dead; (vii) communicates messages or images inconsistent with the positive images and/or good will with which Sponsor wishes to associate; and/or (viii) violates any law. Sponsor reserves the right at its sole discretion to disqualify any Entry that it believes fails to comply with any provision of these Official Rules. Modifying, enhancing or altering a third party’s pre-existing work does not qualify as Contestant’s own original work. By entering, the Sponsor reserves the right to disqualify any Contestant (or winner(s)) for failing to execute any required paperwork or who engages in any activity which offends the public morals, embarrasses the Sponsor or violates the law of any jurisdiction. Submissions will not be acknowledged and will not be received or held “in confidence” and a submission does not create a confidential relationship or obligation of secrecy between any Contestant and the Sponsor or any of its affiliates. The decision of the Sponsor and its agents are on any and all matters pertaining to the Contest shall be final and binding.
By submitting an Entry, Nominator represents that the Entry conforms to these Official Rules and understands that Sponsor, in its sole discretion, may disqualify the Entry for any reason, including if it determines, in its sole discretion, that the Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion.
GRANT OF RIGHTS: By submitting an Entry, Contestant hereby grants permission for the Entry to be posted on the Website as well as other Sponsor websites and social media pages and otherwise used in accordance with the rights granted herein. By submitting an Entry, Contestant agrees and hereby grants to Sponsor and its successors, licensees and assigns an unlimited, perpetual, irrevocable, assignable, royalty-free, fully paid-up license to reproduce, distribute, perform, create derivative works of, edit, alter, display, exhibit, combine with other materials, exploit and otherwise use the Entry, and all elements embodied therein, in any manner and in any and all media now known or hereafter devised throughout the universe for any purpose whatsoever, including, without limitation, for commercial purposes, without compensation or notification to, or permission from, Contestant or any third party and hereby waives any moral rights in the Entry.
Without limiting the generality of the foregoing, Contestant agrees that the Releasees are not responsible for any unauthorized use of Entries by third parties and that the Releasees will have no obligation to make any use whatsoever of the Entry and they may cease using any Entry for any reason or for no reason at any time in their sole discretion.
ROUND 1: All eligible Entries received for each Region during for a given Entry Period will be judged by personnel from the Contest Administrator and the Sponsor (collectively “Judges”) using the following equally weighted judging criteria: 1) originality of story (25%); 2) content and inspirational quality (25%); 3) how Nominee is a positive influence for community and charity (25%); and 4) suitability for advertising and publicity (25%) (collectively the “Judging Criteria”). The top three (3) Entries in each Region will advance to Round 2 as “Semi-Finalists” (subject to verification of eligibility and compliance with these Official Rules). Sponsor reserves the right to select fewer than three (3) Semi-Finalists for any Region if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries for that Region.
TIES: In the event of a tie in Round 1, the Entry (from among the tied Entries) with the highest score for how Nominee is a positive influence for community and charity will advance to Round 2. In the event of a further tie, the Entry (from among the tied Entries) with the highest score for content and inspirational quality will advance to Round 2. In the event of a further tie, the Entry (from among the tied Entries) with the highest score for suitability and advertising and publicity will advance to Round 2.
ROUND 2: For each Entry Period, the three (3) Semi-Finalists in each Region will be posted on Website for the general public can view and vote for their favorite Semi-Finalist during the applicable Voting Period (as defined in the chart below). Limit one (1) vote per person/email address per day during the Voting Period. Votes received from any person or email address in excess of the stated limitation will be void. Votes obtained by any fraudulent or inappropriate means, including, without limitation, trading votes or offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion, will be disqualified and associated Semi-Finalist may be disqualified. Use of script, macro or any automated system to vote or with the intent to impair the integrity of the voting process is prohibited and all such votes will be void. The Semi-Finalist in each Region of Round 2 that receives the highest number of valid votes, as determined by Sponsor, will be declared a “Finalist” for that Region and will advance to Round 3.

TIES: In the event of a tie in Round 2, the Entry (from among the tied Entries) with the highest score received in Round 1 for how Nominee is a positive influence for community and charity will advance to Round 2. In the event of a further tie, the Entry (from among the tied Entries) with the highest score received in Round 1 for content and inspirational quality will advance to Round 2. In the event of a further tie, the Entry (from among the tied Entries) with the highest score received in Round 1 for suitability and advertising and publicity will advance to Round 2.
Sponsor reserves the right to not select a Finalist for a Region if, in its sole discretion, it does not receive any eligible and qualified Entries for a Region.
FINALIST NOTIFICATION: Each Finalist (only the Nominee) will be notified by mail, telephone and/or email within ten (10) days from the end of the applicable Voting Period and will be required to execute, notarize and return an Affidavit of Eligibility, Grant of Rights & Release of Liability and a Publicity Release and a W-9 Miscellaneous Form ("Notification Documents") so they are received by Sponsor or its designated agent within five (5) days of date printed on notification or such Finalist will may be disqualified and the Entry with the next highest score will be declared the alternate Finalist. Prepaid overnight mailing envelope will be provided to each Finalist. In the event it is determined that a Finalist cannot be contacted or is contacted but does not respond within the time allocated, or cannot continue in the Contest for any reason, or has not complied with these Official Rules, has failed to execute and return all or a portion of the Notification Documents within the specified time period, has made false statements or a notification is retuned as undeliverable, then such Finalist will be disqualified and the Entry with the next highest score for the applicable Region may be declared the alternate Finalist (at Sponsor’s sole discretion). At the discretion of the Sponsor, Each potential Finalist Nominee will be required to submit to a background check of any and all records of potential Finalist Nominee, including, without limitation, civil and criminal court records and police reports, and entry in the Contest constitutes potential Finalist Nominee’s permission for Sponsor to conduct such background check, provided that, to the extent additional authorization is necessary under law, potential Finalist Nominee shall authorize such background check. Sponsor reserves the right, at its sole discretion, to disqualify any potential Finalist Nominee who fails to authorize such check or if, based on the results of the background check, Sponsor determines in its sole discretion that such potential Finalist Nominee might reflect negatively on Sponsor.
PUBLICITY GRANT: Winning constitutes permission (except where prohibited by law) to use each Finalist’s (including the Finalist that is determined the Grand Prize Winner) name, Entry, hometown, likeness, prize won (if Nominee), statements and photograph (all at Sponsor’s discretion) for future advertising, publicity in any and all media (including online posting) now or hereafter devised throughout the world in perpetuity, in any manner, without additional compensation or notification to, or permission from Finalist.
ROUND 3: The Nine (9) Finalists Entries from all Entry Periods combined will be re-judged by the Judges using the Judging Criteria to determine the Annual Local Lady Godiva Honoree (“Grand Prize Winner”). Sponsor reserves the right to not award the prize if, in its sole discretion, it does not receive any eligible and qualified Entries.
GRAND PRIZE WINNER NOTIFICATION: The Finalist Nominee who is determined to be the Grand Prize Winner will be notified by email, telephone and/or mail on or about 2/1/13.
TIES: In the event of a tie at the end of Round 3, the Entry (from among the tied entries) with the highest score for how Nominee is a positive influence for community and charity will be declared the Grand Prize Winner. In the event of a further tie, the Entry (from among the tied entries) with the highest score for content and inspirational quality will be declared the Grand Prize Winner. In the event of a further tie, the Entry (from among the tied entries) with the highest score for suitability and advertising and publicity will be declared the Grand Prize Winner. In the event of a further tie, the Judges will make the determination of Grand Prize winner.
PRIZES: Any prize will be awarded to the Nominee and not the Nominator. One (1) Grand Prize: Grand Prize Winner will receive $10,000.00 to be used for her community and/or charity work to their discretion. Nine (9) Finalist Prizes (three (3) prizes awarded per Region): Each Finalist will receive $1,000.00 to be used for her community and/or charity work to their discretion. All prizes will be awarded as a check made payable to the nominee, cause or organization. Limit: One (1) Finalist Prize per household. Maximum value of all prizes: $19,000.00. Prizes are non-assignable or transferable. Each winner will be responsible for all federal, state, local, and income taxes associated with winning her respective prize.
RELEASES: By entering this Contest, Contestants agree to these Official Rules and release Sponsor, its parent company, subsidiaries, affiliates, their advertising and promotion agencies, all businesses involved in the development or execution of this Contest as well as their respective employees, officers, representatives, shareholders, directors and agents of each (collectively “Releasees”), from all liability, claims or actions of any kind whatsoever, including injuries and claims of infringement from any third party for any use by Sponsor of any Entries submitted by Contestants, damages or losses of any kind to persons and/or property which may be sustained in connection with either directly or indirectly, the awarding, receipt, ownership, use or misuse of any prize awarded here or participation in the Contest. Released Parties are not responsible if Contest cannot take place or if any prize cannot be awarded due to cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism.
GENERAL: Released Parties are not responsible for problems uploading or downloading any Contest related information from the Website or for any other technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, failure of any Entry to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the Website, or any other technical problems related to Entries including telecommunication miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected communications which may limit a Contestant’s ability to participate in this Contest or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the tabulation of votes, the announcement of the prizes, the incorrect uploading of the Entry or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Mass Entries or Entries generated by a script, robot, macro or use of automated devices or any other means that subverts the entry process will be disqualified. Sponsor reserves the right to modify, suspend or terminate the Contest in the event it becomes infected by a computer virus or is otherwise technically impaired, and to cancel or suspend the Contest in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity or proper play of the Contest. If this is the case, the winners will be determined from among all non-suspect, eligible entries received prior to cancellation using the judging process set forth herein. In the event of a dispute regarding the identity of the Contestant submitting an Entry, the Entry will be deemed to be submitted by the registered subscriber of the e-mail account associated with such Entry and he/she must comply with these Official Rules. CAUTION: Any attempt by an individual to deliberately damage any website or undermine the legitimate operations of the Contest is a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek damages and other legal remedies (including attorneys’ fees) from any such individual to the fullest extent permitted by law and, if applicable, to disqualify such Contestant from the Contest.
GOVERNING LAW: This Contest shall be governed by and interpreted under the laws of the State of New York, U.S.A. without regard to its conflicts of laws provisions. Contestants hereby agree that any and all disputes, claims, causes of action, or controversies (“Claims”) arising out of or in connection with this Contest shall be resolved, upon the election by Contestant or Sponsor, by arbitration pursuant to this provision and the code of procedures of either the National Arbitration Forum (“NAF”) or the American Arbitration Association (“AAA”), as selected by the Contestant. IF ARBITRATION IS CHOSEN BY ANY PARTY WITH RESPECT TO A CLAIM, NEITHER PARTY WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM IN COURT OR HAVE A JURY TRIAL ON THAT CLAIM. FURTHER, NEITHER SPONSOR NOR CONTESTANT WILL HAVE THE RIGHT TO PARTICIPATE IN A REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR OTHER PERSONS SIMILARLY SITUATED, OR AS A MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. EXCEPT AS SET FORTH BELOW, THE ARBITRATOR’S DECISION WILL BE FINAL AND BINDING. NOTE THAT OTHER RIGHTS THAT CONTESTANT WOULD HAVE IF CONTESTANT WENT TO COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION. The arbitrator’s authority to resolve Claims is limited to Claims between Sponsor and Contestant alone, and the arbitrator’s authority to make awards is limited to awards to Sponsor and Contestant alone. Furthermore, claims brought by either party against the other may not be joined or consolidated in arbitration with Claims brought by or against any third party, unless agreed to in writing by all parties. No arbitration award or decision will have any preclusive effect as to issues or claims in any dispute with anyone who is not a named party to the arbitration. Should any part of this Agreement be rendered or declared invalid by a court of competent jurisdiction of the State of New York, such invalidation of such part or portion of this Agreement should not invalidate the remaining portions thereof, and they shall remain in full force and effect.
